Form 4 transaction codes
Also called P, S, A, M, F, G codes
The single letter on each Form 4 line that says whether it is an open-market purchase, a sale, an option exercise or something else.
What do the common codes mean?
P is an open-market or private purchase: the insider bought shares with their own money. S is a sale. When people count insider buying they usually count P codes only.
A is a grant of shares or options as pay, M converts options into shares, F is shares withheld by the company to pay the tax on stock pay, and G is a gift. None of these are market decisions to buy or sell.
