Rule 10b5-1 trading plan

Also called 10b5-1 plan, pre-arranged trading plan

A plan an insider writes before knowing any inside information that sets when and how much stock will be traded later.

How should a 10b5-1 sale be read?

SEC Rule 10b5-1 gives insiders a defence against insider-trading claims when they trade under a written plan adopted in advance that fixes the dates, prices or amounts.

Amendments in effect since 2023 make officers and directors wait, as a rule, at least 90 days after adopting a plan before the first trade, and require Form 4 to say when a trade was made under a plan. Plan sales often repeat on a schedule, so a single sale says little on its own.
