Also called SEC Form 4, statement of changes in beneficial ownership
The filing an officer, director or more-than-10% owner of a US listed company sends the SEC after trading the company's stock.
Who files a Form 4, and when?
Form 4 reports a change in an insider's holdings to the US Securities and Exchange Commission. Officers, directors and holders of more than 10% of a company's stock must file it within two business days of buying, selling or receiving the company's shares or options.
The form lists the trade date, a transaction code (P for an open-market purchase, S for a sale), the number of shares, the price and the shares held afterwards. Option exercises and shares received as pay are reported on the same form even though no money changed hands.
